These Terms of Service (the "Terms") are an agreement between MyHelpDesk Inc. ("MyHelpDesk", "we", "us") and the organization or person that signs up for, pays for, or uses the MyHelpDesk help desk service (the "Customer" or "you"). They cover the website myhelpdesk.us, every help desk we host, and the related API (together, the "Service").
By creating an account, completing checkout, or using the Service, you agree to these Terms. If you accept them on behalf of an organization, you confirm that you have authority to bind it, and "you" means that organization.
1. Eligibility
The Service is intended for business and organizational use. You must be at least 18 years old and able to form a binding contract to create an account.
2. Your account
- You are responsible for your account, for your administrators' and agents' use of the Service, and for keeping sign-in details confidential. We strongly recommend enabling two-factor authentication.
- Give accurate account and billing information and keep it up to date.
- Tell us promptly at [email protected] if you suspect unauthorized access to your account.
3. Plans, billing, and cancellation
- Subscriptions. Paid plans are billed monthly in advance through our payment processor, Stripe. Each plan includes the number of agent seats shown when you subscribe.
- Automatic renewal. Your subscription renews automatically each month until you cancel. You authorize us, through Stripe, to charge your payment method for each renewal.
- Cancellation. You can cancel at any time from your account portal. Cancellation takes effect at the end of the current billing period, and you keep access until then.
- No refunds. Fees are non-refundable. We do not give refunds or credits for partial months, unused seats, or unused time after cancellation, except where the law requires otherwise.
- Price changes. We may change prices. We will give at least 30 days' notice, and the new price applies from your next billing period after the notice.
- Taxes. Prices do not include taxes. You are responsible for any applicable sales, use, or similar taxes.
- Late or failed payment. If a payment fails and is not resolved, we may suspend the Service until it is paid.
- Enterprise plans. Enterprise pricing, custom limits, and any uptime or support commitments are set out in a separate written order or agreement. That agreement controls where it conflicts with these Terms.
4. Your data
- You own your data. "Customer Data" means everything you and your users submit to your help desk, such as tickets, replies, attachments, and articles. As between you and us, you own it.
- Our permission to use it. You grant us a limited right to host, copy, transmit, and process Customer Data only as needed to provide, secure, and support the Service. We handle it as described in our Privacy Policy.
- Your responsibilities. You are responsible for the content of Customer Data and for having the rights, consents, and notices needed to collect it and have us process it. This includes informing the people who submit tickets to you about how you use their information.
- Export and deletion. You can request a copy of your Customer Data during your subscription and for 30 days after it ends. We delete the help desk and its Customer Data within 90 days after the subscription ends. Deleted data leaves our backups on their normal rolling schedule.
5. Acceptable use
You agree not to, and not to let anyone else:
- use the Service for anything unlawful, fraudulent, or harmful, or to send spam or unsolicited bulk email;
- upload malware or content that infringes someone else's rights;
- try to gain unauthorized access to the Service, other Customers' help desks, or our systems, or to probe, scan, or test their vulnerability without our written permission;
- interfere with or overload the Service, including through excessive automated or API requests;
- copy, resell, or reverse engineer the Service, except as the law expressly allows; or
- store payment card numbers, government ID numbers, or health information in tickets, unless you have the legal right to do so and take responsibility for it.
6. Third-party services
The Service can connect to services you choose, such as Microsoft 365 / Entra ID for single sign-on or email, and your own mail servers. Your use of those services is governed by their terms. We are not responsible for them, for their availability, or for changes they make that affect an integration.
7. Availability and changes to the Service
- We work to keep the Service available and secure, but it is provided without a guaranteed uptime commitment unless your Enterprise agreement includes one.
- We may perform scheduled or emergency maintenance, and we update the Service regularly. Updates may add, change, or remove features. We will not materially reduce the core functionality of a paid plan during a billing period you have already paid for.
8. Suspension and termination
- You may stop using the Service and cancel at any time (see Section 3).
- We may suspend or end your access if you materially breach these Terms, fail to pay, or use the Service in a way that threatens its security or other Customers. Where reasonable, we will give notice and a chance to fix the problem first.
- Sections that by their nature should survive termination will survive it, including data handling, payment obligations, disclaimers, limitation of liability, and indemnification.
9. Our intellectual property
The Service, including its software, design, and documentation, belongs to MyHelpDesk and its licensors and is protected by law. We give you a limited, non-exclusive, non-transferable right to use the Service during your subscription, under these Terms. If you send us suggestions or feedback, we may use them without any obligation to you.
10. Confidentiality
Each party will protect the other's non-public business information that it receives through the Service. It will use that information only to perform under these Terms, and will take at least reasonable care to protect it.
11. Disclaimer of warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, MYHELPDESK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY. EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO MYHELPDESK FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, OR TO A PARTY'S LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
13. Indemnification
You will defend and indemnify MyHelpDesk against third-party claims arising from your Customer Data, from your use of the Service in violation of these Terms or the law, or from your violation of anyone else's rights. You will also cover the resulting losses, damages, and reasonable legal fees.
14. Governing law and disputes
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state courts located in Anoka County, Minnesota, or the United States District Court for the District of Minnesota, and each party consents to the personal jurisdiction of those courts. Before filing a claim, each party agrees to first try in good faith to resolve the dispute informally by contacting the other.
15. Changes to these Terms
We may update these Terms from time to time. The date at the top of this page shows when they last changed. If a change is material, we will notify Customers by email or in the Service at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms.
16. General
- Entire agreement. These Terms, the Privacy Policy, and any Enterprise order form are the entire agreement between us about the Service.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition, or sale of assets.
- Severability and waiver. If any provision is found unenforceable, the rest remain in effect. Not enforcing a provision is not a waiver of it.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control. This does not excuse payment obligations.
- Notices. We may send notices to the email address on your account. Send notices to us at [email protected].
